Arab Finance: Orascom Construction expects to complete its proposed combination with OCI N.V. in December 2026, following the approval of the transaction by shareholders of both companies, according to a bourse filing.

OCI shareholders greenlit the transaction on October 30, while Orascom Construction’s shareholders approved it on January 22.

Orascom Construction’s board is scheduled to meet on November 5 to approve an increase in share capital and the allotment of nearly 97.201 million new shares to OCI, subject to the fulfillment of the remaining conditions of the combination.

The issuance of the new shares and their listing on the Abu Dhabi Securities Exchange (ADX) and the Egyptian Exchange (EGX) are targeted for November 24.

Meanwhile, the crediting of Orascom Construction shares to eligible OCI shareholders' accounts is expected to begin on or around December 8.
